In these Terms: "EIDDI" means whichever EIDDI Group entity you are engaging — EIDDI Solutions LLC or EIDDI (SMC-PRIVATE) Limited (CUIN 0284171) — as specified in your signed Service Agreement; "Client" means the individual or entity engaging EIDDI's services; "Services" means any IT services, consulting, software development, or managed operations provided by EIDDI; "Agreement" means these Terms together with any signed service agreement or statement of work; "Deliverables" means the outputs produced by EIDDI under a specific engagement.
These Terms apply to all use of EIDDI's website (eiddi.co) and all engagement of EIDDI's services. By: (a) accessing this website; (b) signing a service agreement; or (c) making payment to EIDDI, you unconditionally accept these Terms. These Terms may be updated at any time; continued engagement constitutes acceptance of updated Terms.
EIDDI provides business consulting and managed IT services including, but not limited to: custom software development (CodeWorks Pro); network infrastructure and connectivity solutions (ConnectCore); and managed IT operations (TechFusion 360). The specific scope of services, deliverables, timelines, and fees for each engagement are set out in a signed Statement of Work (SOW) or Service Agreement.
EIDDI reserves the right to engage subcontractors and specialist partners to fulfil service obligations. EIDDI remains responsible for the quality and compliance of all subcontracted work.
Clients agree to: (a) provide accurate, timely information required for service delivery; (b) designate a point of contact with authority to make decisions; (c) pay invoices within agreed timelines; (d) not use EIDDI's services for any unlawful purpose; (e) maintain confidentiality of any access credentials provided.
All fees are set out in the applicable service agreement. Standard payment terms are 50% deposit upon contract signing and 50% upon project delivery or milestone completion as agreed. Invoices are payable within 14 calendar days of issue. EIDDI Solutions LLC accepts payment via Payoneer, Wise, or bank wire transfer; EIDDI (SMC-PRIVATE) Limited accepts local PKR bank transfer. Upon receipt of full payment, EIDDI assigns to the Client all rights, title, and interest in bespoke Deliverables created specifically for that Client, subject to EIDDI's retained rights in pre-existing tools and frameworks. See our full IP Policy. EIDDI's brand, website content, and proprietary methodologies remain the sole property of EIDDI.
Both parties agree to maintain strict confidentiality of all non-public information shared during the engagement. EIDDI will not disclose client business information, technical details, or data to third parties except as required for service delivery (with appropriate confidentiality obligations in place) or by law.
EIDDI processes personal data in accordance with its Privacy Policy and applicable data protection laws, including GDPR (where applicable) and relevant international frameworks. Clients engaging EIDDI to process personal data on their behalf shall enter into a Data Processing Agreement (DPA) upon request.
Specific service levels, uptime commitments, response times, and support terms are defined per client engagement in the applicable SLA document. In the absence of a specific SLA, EIDDI commits to commercially reasonable efforts, industry-standard practices, and prompt communication regarding any service interruptions.
EIDDI warrants that: (a) it has the legal authority to enter into service agreements; (b) services will be performed with reasonable skill and care; (c) Deliverables will materially conform to agreed specifications. EIDDI does not warrant that services will be error-free or uninterrupted. All other warranties are disclaimed to the fullest extent permitted by law.
EIDDI's aggregate liability for any claim under or in connection with any service agreement shall not exceed the total fees paid by the Client in the three (3) months immediately preceding the claim. EIDDI shall not be liable for indirect, consequential, special, or punitive damages in any circumstances. This limitation does not apply to liability arising from fraud, gross negligence, or wilful misconduct.
Either party may terminate a service agreement with 30 days' written notice. EIDDI may terminate immediately for: non-payment exceeding 30 days; material breach; or if continuing the engagement would violate applicable law. Upon termination, Clients remain liable for all work completed and costs incurred to the termination date. Refunds, if applicable, are governed by our Refund Policy.
Neither party shall be liable for delays or failures caused by events beyond their reasonable control, including natural disasters, government actions, pandemics, cyberattacks, or telecommunication failures. The affected party shall notify the other promptly and both parties shall use reasonable efforts to minimise the impact.
Both parties agree to comply with all applicable anti-bribery, anti-corruption, and anti-money laundering laws. Neither party shall offer, pay, or accept anything of value to improperly influence any person in connection with the engagement. EIDDI operates with full transparency in all commercial dealings.
Clients must not use EIDDI's services to: (a) engage in unlawful activities; (b) infringe third-party intellectual property; (c) transmit malicious software; (d) violate applicable data protection laws; (e) engage in activities that could damage EIDDI's reputation or expose EIDDI to legal liability. EIDDI reserves the right to suspend services immediately for violations.
Governing law, dispute resolution procedure, and venue are determined by which EIDDI Group entity you engage, as specified in your signed Service Agreement:
In both cases: parties shall first attempt to resolve any dispute through good-faith negotiation within 14 days of notice; if unresolved, the dispute is referred to a mutually agreed mediator; if mediation fails within 30 days, the matter proceeds to arbitration or litigation as set out above.
Access to eiddi.co is provided for informational purposes. You agree not to: (a) attempt to gain unauthorised access to any system; (b) scrape or extract data systematically; (c) reproduce website content without permission; (d) transmit harmful or offensive material. EIDDI reserves the right to restrict access for violations.
EIDDI reserves the right to amend these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of services or the website after the effective date of changes constitutes acceptance of the updated Terms. Material changes will be communicated to active clients by email.
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
These Terms, together with any applicable service agreement, statement of work, and supplementary policies referenced herein, constitute the entire agreement between EIDDI and the Client regarding the subject matter hereof, and supersede all prior negotiations, representations, or agreements.
